Terms of Service

These Terms of Service form a legally binding agreement between you and OutScript. The words "OutScript," "we," "us," and "our" refer to the operator of the OutScript platform.

By accessing or using the website, application, marketplace, messaging tools, request tools, Scripter tools, account tools, or any related service, you accept these Terms. If you do not accept these Terms, you must not use the platform.

If you use the platform for a business or another person, you represent that you have authority to bind that business or person. In that case, "you" includes that business or person.

OutScript is a technology platform. It helps customers find, contact, compare, and book independent local service providers known as Scripters. OutScript does not perform local services.

Scripters are independent third parties. They are not employees, agents, partners, franchisees, joint venturers, or representatives of OutScript. No Scripter may bind OutScript, and no customer may bind OutScript.

The agreement for any local service is between the customer and the Scripter only. OutScript is not a party to that agreement unless OutScript signs a separate written agreement that states otherwise.

You may use the platform only if you can form a binding legal contract. You must be at least the age of majority in your province or territory. You must not use the platform if applicable law bars you from doing so.

We may refuse service, suspend an account, terminate an account, or restrict access where we believe that use of the platform creates legal risk, safety risk, operational risk, fraud risk, or reputational risk.

You must provide true, accurate, current, and complete information, and you must keep that information current. You are responsible for all activity under your account.

You must protect your credentials and must notify us promptly if you suspect unauthorized access. We are not liable for loss caused by unauthorized account use unless the law requires otherwise.

Each customer is solely responsible for the following matters:

• the accuracy of each request;
• the legality and safety of each requested service;
• the selection of any Scripter;
• the final scope, price, time, place, and terms of the job;
• safe access to the service location;
• payment of amounts agreed with the Scripter;
• inspection of work before acceptance where appropriate;
• all disputes with the Scripter.

Each Scripter is solely responsible for the following matters:

• the truth of profile information and service claims;
• all licences, permits, approvals, and registrations;
• all insurance that is required or prudent;
• all tools, materials, training, and qualifications;
• safe, lawful, and professional service performance;
• taxes and business records;
• refunds, warranties, damage claims, and service disputes;
• the conduct of any helper, worker, or subcontractor.

A Scripter must not state or imply that OutScript employs, supervises, certifies, guarantees, or endorses the Scripter.

A profile, badge, rating, review, ranking, category, featured placement, identity status, or approval status is not an endorsement, warranty, or guarantee. It is not a statement that a user is qualified, safe, insured, lawful, reliable, or suitable for any task.

You must make your own decisions and conduct your own diligence before meeting, hiring, paying, admitting, or working with another user.

Requests, offers, messages, task records, reviews, and booking details are user-generated records. They may be inaccurate or incomplete. You must verify all material terms before relying on them.

We may monitor, preserve, review, remove, restrict, or disclose communications where we believe it is necessary for safety, moderation, legal compliance, support, dispute handling, fraud prevention, or enforcement.

You retain ownership of content that you submit. This includes text, photos, profiles, requests, messages, offers, reviews, reports, and attachments.

You grant OutScript a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, copy, display, transmit, format, modify for technical purposes, publish, and otherwise use your content as necessary to operate, protect, promote, and improve the platform.

You represent that you have all rights necessary to submit your content, and that your content does not violate law, violate these Terms, infringe rights, breach confidentiality, mislead users, defame any person, or create a safety risk.

You must not do any of the following:

• use the platform for unlawful purposes;
• offer or request illegal services;
• offer or request unsafe services;
• offer or request regulated services without legal authority;
• harass, threaten, abuse, stalk, dox, or exploit any person;
• post false, deceptive, defamatory, or harmful content;
• use fake accounts, fake reviews, or stolen identities;
• misstate licences, insurance, experience, or credentials;
• upload malware or harmful code;
• scrape, crawl, copy, or harvest platform data;
• reverse engineer or attack the platform;
• bypass security, moderation, account limits, or fees;
• interfere with platform operation;
• violate privacy, publicity, or intellectual property rights;
• create risk for OutScript, users, or the public.

The platform must not be used for services involving unlawful activity, violence, weapons, controlled substances, sexual services, adult exploitation, surveillance, hacking, credential theft, counterfeit goods, unsafe entry, unlicensed regulated work, or any service that we determine is inappropriate for the platform.

We may remove any request, profile, listing, message, or account at our discretion if we believe it may involve a prohibited category.

Reviews must reflect genuine experiences. Reviews must not be fake, purchased, coerced, retaliatory, abusive, discriminatory, defamatory, or misleading.

We may moderate any content or account. We may remove content, hide content, restrict visibility, or decline to publish content. We have no obligation to provide reasons and no obligation to restore removed content.

You are solely responsible for your interactions with other users. This includes online communications, in-person meetings, property access, payments, service quality, injury risk, damage risk, refund claims, warranty claims, and disputes.

OutScript may attempt to assist with a dispute, but any assistance is voluntary. OutScript has no obligation to investigate, mediate, resolve, pay, refund, repair, replace, insure, or compensate any person for a dispute between users.

Unless a separate OutScript payment feature states otherwise, prices and payment terms are agreed between the customer and the Scripter. Each user is responsible for taxes, invoices, receipts, refunds, chargebacks, and records related to that user's activity.

OutScript may introduce paid features, subscriptions, commissions, service fees, payment tools, or processing rules. Additional terms may apply to those features.

The platform may rely on third-party providers, including providers of hosting, database, storage, authentication, email, analytics, identity verification, payment, mapping, security, and support services.

OutScript is not responsible for third-party services or for third-party outages, errors, terms, policies, acts, omissions, or security incidents, except where applicable law requires otherwise.

The platform and all related software, interfaces, workflows, designs, text, graphics, trademarks, trade names, service marks, logos, and materials are owned by OutScript or its licensors. No right is granted except the limited right to use the platform under these Terms.

We may suspend, restrict, or terminate your access at any time if we believe that you have violated these Terms, violated law, harmed a user, exposed OutScript to risk, interfered with the platform, or acted in a manner inconsistent with marketplace trust and safety.

Termination does not limit any rights or remedies that arose before termination. Sections that by their nature should survive will survive termination, including ownership, disclaimers, limits of liability, indemnity, dispute provisions, and payment obligations.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

OutScript disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or common law. This includes warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, uninterrupted operation, and error-free operation.

OutScript does not warrant any user, service, request, offer, booking, review, profile, message, result, income, safety, credential, insurance, licence, legality, quality, or suitability.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUTSCRIPT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, AGGRAVATED, OR PUNITIVE DAMAGES.

OutScript will not be liable for lost profits, lost revenue, lost data, lost goodwill, lost opportunity, service disputes, property damage, personal injury, non-payment, fraud, user conduct, or third-party conduct arising from or related to the platform.

To the fullest extent permitted by law, OutScript's total aggregate liability for all claims related to the platform or these Terms will not exceed the greater of the amount paid by you directly to OutScript during the three months before the claim arose or CAD $100.

You will defend, indemnify, and hold harmless OutScript and its owners, directors, officers, employees, contractors, affiliates, agents, licensors, and service providers from all claims, demands, actions, damages, losses, liabilities, fines, penalties, costs, and expenses arising from or related to:

• your use of the platform;
• your content;
• your services, requests, offers, bookings, or payments;
• your interaction with another user;
• your breach of these Terms;
• your violation of law;
• your negligence, misconduct, fraud, or misrepresentation;
• your infringement of any right of another person.

This indemnity includes reasonable legal fees and enforcement costs.

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario. Conflict of law rules do not apply.

Subject to rights that cannot be waived by law, the courts located in Ontario, Canada have exclusive jurisdiction over any dispute involving OutScript or the platform.

We may amend these Terms at any time. The amended Terms will be posted on the platform with an updated effective date. Continued use after the effective date constitutes acceptance of the amended Terms.

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale, or transfer of assets.

These Terms and the policies referenced in them form the entire agreement between you and OutScript regarding the platform.
