Terms of Service

These Terms of Service (the “Terms”) form a binding legal agreement between you and Outscript Inc. (“Outscript”, “we”, “us”, or “our”) governing your access to and use of the Outscript website, applications, and related services (together, the “Platform”).

Read these Terms carefully. They include a limitation of our liability, a release of claims, an indemnity you grant to us, and a waiver of class proceedings. By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • Member means any person with an Outscript account.
  • Requester means a Member who posts a Request.
  • Scripter means a Member approved to respond to Requests and provide services to other Members.
  • Request means a posting describing help a Requester is seeking and the amount they are willing to pay.
  • Offer means a Scripter’s private response to a Request.
  • Job means the arrangement created when a Requester accepts an Offer.
  • Member Content means anything a Member submits, posts, uploads, or transmits through the Platform, including profiles, Requests, Offers, messages, images, and reviews.
  • Outscript Parties means Outscript Inc. together with its parents, subsidiaries, affiliates, and related entities, and each of their respective founders, directors, officers, shareholders, employees, contractors, agents, representatives, service providers, licensors, insurers, successors, and assigns.

2. Eligibility

To use the Platform you must be at least eighteen (18) years of age, be a current post-secondary student in a city Outscript serves, have the legal capacity to enter into a binding contract, and not be barred from using the Platform under any applicable law or by a prior determination of ours. We may request evidence of eligibility at any time and may suspend or close any account we reasonably believe does not meet these requirements.

3. Accounts and account security

You must register with accurate, current, and complete information, and keep it up to date. You may hold one account only. You are solely responsible for safeguarding your credentials and for all activity occurring under your account, whether or not authorised by you. Notify us immediately at help@outscript.ca of any unauthorised use or suspected compromise. The Outscript Parties are not liable for any loss arising from your failure to secure your account.

4. Outscript is a venue, not a party to your arrangements

Outscript provides a neutral technology platform through which Members may find one another. Outscript is not a party to any Job, agreement, or dealing between Members. We do not supply, perform, supervise, direct, control, or guarantee any services arranged through the Platform. We are not an employer, employment agency, staffing agency, recruiter, broker, contractor, or agent of any Member. We make no representation regarding the identity, qualifications, competence, honesty, reliability, background, or conduct of any Member.

Any contract for services formed through the Platform is directly and exclusively between the Members involved. You are solely responsible for evaluating, agreeing, performing, and enforcing those arrangements.

5. Requests, Offers, and Jobs

A Requester describes the help sought and names the amount they are willing to pay. Scripters matching the category and city may view the Request and submit a private Offer. Offers are sealed: no Scripter can see the content of another Scripter’s Offer. Accepting an Offer creates a Job and opens a private conversation between the two Members. A Request expires automatically fourteen (14) days after posting if no Offer is accepted.

Listings, matching, ordering, and availability are provided for convenience only and do not constitute an endorsement, recommendation, verification, or warranty by any of the Outscript Parties.

6. Payments are strictly between Members

Outscript does not process payments, does not hold, transmit, or escrow funds, takes no commission, and is not a payment processor, money services business, or financial institution. The amount displayed on a Job is a record of what the Members stated they agreed to. Settlement occurs directly between the Members by whatever lawful method they choose.

Because we are not a party to the transaction and never possess the funds, the Outscript Parties cannot and do not issue refunds, reverse payments, recover amounts owed, adjudicate payment disputes, or guarantee that any Member will pay, perform, or deliver. Any dispute over payment or performance is solely between the Members concerned.

You are solely responsible for determining, reporting, collecting, and remitting all taxes arising from your activity, and for obtaining any licence, permit, registration, insurance, or certification your activity requires.

7. Independent status

Nothing in these Terms or in your use of the Platform creates an employment, agency, partnership, joint venture, franchise, or fiduciary relationship between you and any of the Outscript Parties. Scripters are independent persons offering their own services on their own account, set their own rates, choose which Requests to answer, and control the manner and means of their work. You must not represent yourself as an employee, agent, or representative of Outscript.

8. Member conduct

You agree that you will not, and will not attempt to:

  • post, offer, request, or facilitate anything unlawful, fraudulent, deceptive, defamatory, obscene, harassing, discriminatory, threatening, or unsafe;
  • offer, request, or perform academic work that contravenes any academic integrity policy, honour code, or examination rule of any institution;
  • impersonate any person or entity, misrepresent your identity, affiliation, skills, or qualifications, or create an account for another person;
  • circumvent, disable, or interfere with the Platform’s security, matching, moderation, or rate-limiting features;
  • scrape, crawl, harvest, index, cache, resell, or otherwise misuse the Platform or any Member’s information, by manual or automated means;
  • use the Platform to advertise, solicit, or promote unrelated products, services, schemes, or competing platforms;
  • transmit malware, conduct penetration testing without our prior written consent, or place unreasonable load on our infrastructure;
  • use the Platform to arrange anything involving weapons, controlled substances, adult services, gambling, financial products, or regulated professional advice; or
  • encourage, enable, or assist any third party in doing any of the above.

Any Member may report a Request, a Job, a message, or another Member. We may investigate reports at our discretion, but we assume no duty to do so and no duty to any Member to take any particular action.

9. Scripter review and approval

Scripter profiles undergo a limited review before publication. This review is administrative and cursory. It is not a background check, and it does not verify identity, criminal history, credentials, qualifications, certifications, insurance, competence, or fitness for any task. Approval is granted at our sole discretion, confers no status or entitlement, is not permanent, and may be modified, suspended, or withdrawn at any time without notice or reason. Approval is not an endorsement, recommendation, or warranty of any kind by the Outscript Parties.

10. Reviews and ratings

After a Job is marked complete, the Requester may leave a rating and comment. Reviews are attributed to the Scripter’s profile and are visible to other Members. Reviews reflect the personal opinions of the Members who wrote them and not those of the Outscript Parties, who do not adopt, verify, or endorse any review. You must not offer, solicit, or accept anything of value in exchange for a review, or post a review that is knowingly false or manipulative. We may remove or decline to display any review at our discretion but assume no obligation to monitor or remove reviews.

11. Member Content and licence

You retain ownership of your Member Content. You are solely responsible for it and represent and warrant that you hold all rights necessary to submit it and that it does not infringe or violate the rights of any third party or any law.

You grant Outscript a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, transferable licence to host, store, reproduce, adapt, format, transmit, and display your Member Content for the purposes of operating, maintaining, securing, and improving the Platform. This licence ends when you remove the content or close your account, except for copies retained in routine backups, copies retained as required by law, and content that other Members have already lawfully received. Aggregated or de-identified information that cannot reasonably identify you is not subject to this limitation.

12. Our intellectual property

The Platform, including its software, design, text, graphics, logos, trade names, trade-marks, and all associated intellectual property, is owned by Outscript or its licensors and is protected by law. Except for the limited, revocable, non-exclusive, non-transferable right to access and use the Platform in accordance with these Terms, no rights are granted to you. You must not copy, modify, reverse engineer, decompile, create derivative works from, or attempt to derive the source code or underlying structure of any part of the Platform.

13. Moderation, suspension, and termination

We may, at our sole discretion and without liability, and with or without notice, remove or restrict any Member Content, limit or suspend any account, withdraw Scripter approval, mute a Member, or terminate any account and any licence granted under these Terms, including where we believe a Member has breached these Terms, created risk or legal exposure, or where we cease to offer the Platform in a location.

You may stop using the Platform at any time and may request deletion of your account by emailing help@outscript.ca. Sections that by their nature should survive termination will survive, including Sections 6, 7, 11, 12, and 14 through 22.

14. Assumption of risk

You understand that using the Platform may lead you to interact and meet in person with people you do not know, and to admit them to, or enter, private premises. You accept all risks arising from those interactions, including risk of personal injury, death, illness, property damage, loss, theft, fraud, harassment, and misconduct. You are solely responsible for taking sensible precautions, including meeting in public where appropriate, verifying who you are dealing with, agreeing scope and price clearly in advance, and declining anything that feels unsafe.

15. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis, with all faults and without warranty, representation, condition, or guarantee of any kind, whether express, implied, statutory, collateral, or otherwise. The Outscript Parties expressly disclaim all implied warranties and conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, quiet enjoyment, accuracy, and non-infringement.

Without limiting the foregoing, the Outscript Parties do not warrant that the Platform will be uninterrupted, timely, secure, error-free, or free of harmful components; that defects will be corrected; that any Member, Request, Offer, Job, review, or item of Member Content is accurate, lawful, genuine, safe, or of satisfactory quality; or that any Member will perform, pay, behave lawfully, or act as represented. No advice or information obtained from the Platform or from any of the Outscript Parties creates any warranty not expressly stated in these Terms.

16. Limitation of liability

To the maximum extent permitted by applicable law, in no event will any of the Outscript Parties be liable to you or to any third party for any indirect, incidental, special, exemplary, punitive, aggravated, or consequential damages, or for any loss of profits, revenue, business, opportunity, goodwill, reputation, data, or anticipated savings, arising out of or in connection with these Terms, the Platform, or any dealing between Members, whether in contract, tort (including negligence), strict liability, statute, or any other theory, and whether or not the Outscript Parties were advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of the Outscript Parties for all claims arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the total amount you paid to Outscript in the twelve (12) months preceding the event giving rise to the claim, and (b) one hundred Canadian dollars (CAD $100). You acknowledge that Outscript takes no commission and receives no payment from Jobs, that this allocation of risk is a fundamental basis of the bargain between us, and that the Platform would not be provided on these terms without it.

Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. Where such a law applies to you, the exclusions and limitations in Sections 15 and 16 apply only to the fullest extent that law permits, and nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or death or personal injury caused by proven negligence where such exclusion is prohibited.

17. Release

You release and forever discharge the Outscript Parties from any and all claims, demands, actions, causes of action, damages, losses, costs, and expenses of every kind, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way connected with any dispute, dealing, interaction, or transaction between you and any other Member or any third party, whether occurring on or off the Platform. You agree that the Outscript Parties are under no obligation to become involved in any such dispute.

18. Indemnification

You will defend, indemnify, and hold harmless the Outscript Parties from and against any and all claims, demands, proceedings, liabilities, damages, awards, fines, penalties, losses, costs, and expenses, including reasonable legal fees on a full indemnity basis, arising out of or relating to: (a) your access to or use of the Platform; (b) your Member Content; (c) your breach of these Terms or of any law; (d) your infringement of any right of any third party; (e) any Job, service, dealing, or dispute between you and another Member; or (f) any tax, licence, permit, or registration obligation of yours. We may assume the exclusive defence and control of any matter subject to indemnification, at your expense, and you will cooperate with us. You must not settle any such matter without our prior written consent.

19. Third-party services

The Platform may reference or link to services or resources operated by third parties. Those are provided for convenience only. The Outscript Parties do not control, endorse, or assume responsibility for any third-party service, and your use of any such service is at your own risk and subject to that party’s own terms.

20. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to conflict-of-laws principles.

Before commencing any proceeding, you agree to first contact us at help@outscript.ca and attempt in good faith to resolve the matter informally for a period of at least thirty (30) days. You irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of London or Toronto, and waive any objection based on forum or venue.

To the maximum extent permitted by applicable law, you agree to bring any claim in your individual capacity only, and not as a plaintiff, representative plaintiff, or class member in any purported class, collective, consolidated, or representative proceeding. Any claim must be commenced within one (1) year after the cause of action arises, failing which it is permanently barred, except where a longer limitation period is required by law.

21. Force majeure

The Outscript Parties are not liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including acts of God, natural disaster, epidemic, war, terrorism, civil unrest, labour disruption, government action, power or telecommunications failure, network attack, or failure of any third-party service provider.

22. General

Changes. We may amend these Terms at any time by posting the amended version with an updated date. Where changes are material we will take reasonable steps to notify Members. Continued use of the Platform after the effective date constitutes acceptance. If you do not accept a change, you must stop using the Platform and may close your account.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganisation, or sale of assets.

Severability and waiver. If any provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver of it, and no waiver is effective unless in writing.

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Outscript regarding the Platform and supersede all prior understandings on the subject.

Notices. We may give notice by email to the address on your account, or by posting within the Platform. You must send notices to us at the address below.

Language. The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont demandé que cette entente et tous les documents qui s’y rattachent soient rédigés en anglais.
